In these Terms of Use, “Prospectify,” “we,” “us,” or “our” refers to Prospectify, while “you,” “your,” or “user” refers to individuals or organizations utilizing Prospectify’s services.
Our services include but are not limited to:

• Lead Generation Services – connecting you with potential prospects through data-driven targeting and outreach.
• Virtual Assistance Services – providing administrative, communication, and appointment-setting support to help streamline your operations.
• Communication & Automation Tools – phone-based, text-based, and web-based systems that enhance your ability to manage prospects and clients.

By using Prospectify services, you agree to the following terms.

1. Modifications to Terms
We may modify these Terms of Use at any time without specific notice. Updates become effective immediately upon posting on our website. It is your responsibility to review the Terms periodically. Continued use of our services constitutes acceptance of the updated Terms.

2. Consent to Communication
By providing your contact information, you authorize Prospectify and its partners to contact you via:

• Phone calls, including automated or prerecorded messages.
• Text messages, including automated SMS/MMS.
• Emails and notifications

Message and data rates may apply. You may revoke consent by replying STOP to text messages or requesting placement on our internal Do Not Call list. Consent to receive messages is not required to use our services.

3. User Responsibilities

• You agree to provide accurate and complete information when registering or using our services.
• You are responsible for updating your contact information promptly.
• You must not use our services for unlawful, harmful, or fraudulent activity.
• You agree not to share access credentials with unauthorized users.

4. Lead Generation & Virtual Assistance Services

• Prospectify does not guarantee the number or quality of leads generated. Leads are delivered as-is, and results may vary.
• Virtual assistants provided through Prospectify are contracted professionals. While we strive for high standards,
• Prospectify is not responsible for errors, omissions, or performance beyond agreed service scope.
• You remain responsible for decisions made based on leads, data, or VA services provided.

5. Confidentiality & Data Use

• Any personal, business, or prospect data you provide will be handled in accordance with our Privacy Policy.
• You grant Prospectify a worldwide, royalty-free license to use submitted information as necessary to provide services, improve systems, or comply with the law.
• We will not sell your confidential information to third parties without your consent.

6. Arbitration Agreement
Any dispute between you and Prospectify will be resolved through binding arbitration, rather than litigation in court. By agreeing, both parties waive the right to trial by judge or jury. Arbitration will be conducted under the American Arbitration Association (AAA) rules.
Exceptions: You may bring claims in small claims court or disputes regarding intellectual property outside of arbitration. You may opt out of arbitration within 30 days of accepting these Terms by emailing support@prospectify.org.

7. Limitation of Liability

• Prospectify services are provided “as is” and “as available”, without warranties of merchantability or fitness for a particular purpose.
• Prospectify is not liable for indirect, incidental, or consequential damages (including lost profits, lost data, or business interruption).
• Direct liability is limited to the amount paid by you in the 12 months preceding the claim.

8. Indemnification
You agree to indemnify and hold Prospectify, its officers, employees, and affiliates harmless from claims, damages, or expenses arising from your use of our services, violation of these Terms, or misuse of data.

9. Service Availability
While we strive for reliability, we cannot guarantee uninterrupted service. Maintenance, technical issues, or legal restrictions may limit availability.

10. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflicts of law. Arbitration or legal proceedings will take place in California.

11. Termination of Services

Prospectify may suspend or terminate services if:

• You breach these Terms.
• Your use appears fraudulent or abusive.
• Providing services becomes impractical or unlawful.

12. Entire Agreement
These Terms, together with our Privacy Policy, constitute the full agreement between you and Prospectify and supersede prior agreements.

Final Acknowledgment
By using Prospectify services—including lead generation, virtual assistance, and communication tools—you confirm that you:

• Understand these Terms.
• Have the legal authority to enter into this agreement.
• Accept that results vary and that services are provided without guarantees.

If you do not agree, you must discontinue use of Prospectify services.
